Nouveau Monde Graphite Inc. ("NMG", "Nouveau Monde" or the "Company") ( NYSE: NMG , TSXV: NOU ) reports meaningful progress on its financing efforts for the development of its fully vertically integrated Phase-2 operations, combining the Bécancour Battery Material Plant and Matawinie Mine. Following the appointment of financial advisors to assist with the structuring and securing of project financing , the Company has engaged with Export Credit Agencies ("ECAs"), governments, strategic investors, and potential customers to frame a robust capital structure that leverages international debt, government funding and equity. NMG has received formal Expressions of Interest ("EOI") to cover approximately up to 70% of the estimated total funding for an integrated project, subject to standard project finance conditions. NMG's financing approach strives to further derisk its development by seeking to secure medium-term debt, complemented by strategic equity participation.

As NMG's technical team and engineering consultants finalize the selection of key equipment and service providers for Phase 2, discussions with ECAs have advanced considerably and have led to a significant level of interest by certain ECAs. The Company has received indicative expressions of interest for a senior debt facility from Euler Hermes Aktiengesellschaft, the German Export Credit Agency ("EH") and Export Development of Canada ("EDC") Canada's export credit agency.

The proposed medium-term project finance is expected to deliver a significantly lower cost of capital than traditional financing structures. As both ECAs and the capital markets increasingly turn their attention to support impact investment, the funding would also reflect NMG's significant environmental, social and governance ("ESG") benefits to key stakeholders, including the local community, as well as contribute to the global clean energy drive towards zero emissions. The lower interest rates and longer repayment terms associated with ECA financing minimizes the financial risks with this level of funding.

The EOIs have indicated funding of up to approximately 70% of the total funding required, to include both an imported component and the local costs associated with the installation of that imported content and an additional local component. EH has provided a strong EOI which is in line with the Organisation for Economic Co-operation and Development ("OECD") Arrangements of Officially Supported Export Credits. EH has stipulated minimum German content requirements and welcomes EDC's involvement in helping to facilitate the development of the project in order to support greater exports out of Canada under their "Export Capacity" mandate. EDC will potentially provide direct lending in either CAD$ or US$, the terms of which will need to be agreed. EDC is expected to participate alongside EH under a Common Terms Agreement.

The EOIs provide an indication of the attractiveness of the project, and cover, in principle, the level of financial support and their flexibility and desired conditions. The EOIs are not binding commitments and are subject as is customary to a series of standard project finance terms and satisfactory due diligence.

To further advance the development of this facility, NMG has appointed Société Générale as the sole coordinating mandated lead arranger ("MLA"). The appointment of Société Générale was undertaken after a Tender Panel issued by NMG's advisor, GKB Ventures Ltd (and supported by SD Capital Advisory Limited), to the banking market and after an extensive review and selection process. Société Générale is a leading international financial services group, has very strong credentials in the metals and mining space as well as the battery value chain. It was named International Financing Review's 2021 Bank of the Year for Sustainability for its role in helping tackle global warming through financial leadership and climate action.

The following stages in the Company's financing efforts will include, among other things, setting up due diligence workstreams, completion of the definitive feasibility study, securing a formal credit approval and providing lenders with its National Instrument 43-101 Standards of Disclosure for Mineral Projects ("NI 43-101")-compliant feasibility study. Targeted to be delivered before the end of Q2-2022, the study will reflect NMG's integrated business model for the Phase-2 Bécancour Battery Material Plant and Matawinie Mine in a unified economics structure.

The ECA backing that the Company is striving to secure demonstrates a sound vote of confidence in the responsible, carbon-neutral and sustainable development of what is projected to be North America's largest fully integrated natural graphite operation.

In parallel to its financing efforts, NMG continues to advance commercial discussions with tier-1 battery manufacturers thanks to the production of its Phase-1 facilities that enables technical product qualification and confirmation of specifications and quality standards. The Company is striving to secure an anchor customer offtake agreement that could potentially be coupled with a cornerstone strategic investor's participation in the financing structure. The municipality of Saint-Michel-des-Saints and Nouveau Monde Graphite inc. (“Nouveau Monde” or “NMG”) (TSXV:NOU; OTCQX:NMGRF; Frankfurt:NM9) strengthened their social, economic and environmental development partnership with the signing of a collaboration and benefit-sharing agreement as part of the Matawinie mining project.

From the start of the exploration work, Nouveau Monde has demonstrated a strong commitment to the community through open dialogue and an intent to maximize spinoffs for Saint-Michel-des-Saints and Upper Matawinie. The cooperation and benefit-sharing agreement is therefore based on requests expressed by local stakeholders, on sustainable development principles, and on the agreement in principle reached in August 2018.

Through this new agreement, which will cover the mine’s entire commercial operating life, Nouveau Monde will contribute up to 2% of its net cash flow after taxes to the municipality to boost community spinoffs and reinvestment. An annual advance payment of $400,000 will help the municipality prepare and upgrade, if necessary, its infrastructure prior to the start of the mine’s operating period.

Through a liaison committee, which is complementary to the monitoring committee that will be established as per the Mining Act, the municipality will also have the chance to actively participate in shaping, implementing and monitoring the mining project.

“The municipality of Saint-Michel-des-Saints is proud to have reached this collaboration and benefit-sharing agreement with NMG. We are certain that it will benefit all citizens as well as future generations,” explained Réjean Gouin, Mayor of Saint-Michel-des-Saints.

Nouveau Monde will also contribute 1% of its net cash flow after taxes to a Community Fund for the Future to help stimulate developmental projects in Upper Matawinie that have a social, economic and environmental impact. The Fund will be administered by a trust organization and will promote things such as economic sustainability and community vitality beyond the mine’s operating period.

The most generous of its kind documented in Quebec, this bilateral agreement includes concrete actions in the areas of training, employability and business opportunities for the local population; the integration of the mining project into the territory through recreation and tourism development; and collaboration mechanisms to provide short-, medium- and long-term benefits for the community.

Lomiko Metals (TSXV:LMR, OTC:LMRMF, FSE:DH8C) announced positive results on its initial metallurgical test programs at its La Loutre Graphite project in Quebec, and Lomiko Metals COO Gordana Slepcev is keen on advancing the project towards a pre-feasibility study.

“We have published the positive preliminary economic assessment (PEA) in July 2021. And we’ve done quite a bit of work to advance that project toward PFS. So we started with the infill program and drilled at 100 meters in the end zone. We're really happy to move it to a level 2 project with the infill drilling.”

Lomiko acquired approximately 14,255 hectares of mineral claims on six projects in the Laurentian region of Quebec and within First Nations territory. These new claims lie within a 100 km radius of the company’s flagship La Loutre graphite project. About 28 claims are directly contiguous to La Loutre, increasing the company’s claim package to 4,528 hectares.

Lomiko is currently undertaking several metallurgical studies to define the chemical and physical properties of La Loutre graphite concentrate. The studies aim to determine the upgrading potential of the graphite flotation concentrate for value-added processing and confirm the plant flowsheet to aid in the plant design for the Pre-Feasibility Study the Company will be looking to complete in 2023.

With the infill drilling and the metallurgical testing, Lomiko expects to confirm those results and create some samples that they can send to the companies for both battery production and industrial use.

“After we actually do the infill drilling and the resource estimate, we're going to upgrade our resources of 70 million tonnes of graphite for about 3 million pounds of graphite. Two thirds or about 46 million of those resources are inferred, so in order to move on with the feasibility study and really be considered as a serious development company, we really need to upgrade those resources.”

Each FT Unit consists of one common share that will qualify as a "flow-through share" within the meaning of the Income Tax Act (Canada) and the Taxation Act (Québec) and one-half (1/2) of a common share purchase warrant (a "Warrant") with each whole Warrant exercisable at a price of $0.10 per share for a period of two years following closing.

Subject to regulatory approval, the Company will pay a cash finder's fees of $31,737.55 and issue 580,182 finder warrants (the "Finder's Warrants") to three parties. Each Finder's Warrant is non-transferable and exercisable at a price of $0.10 per share for a period of two years following closing.

Pursuant to applicable Canadian securities laws, all securities issued pursuant to this private placement are subject to a hold period of four months and one day. The private placement remains subject to the final approval of the TSX Venture Exchange.

The Company intends to use the gross proceeds of the private placement to incur Canadian Exploration Expenses and "flow-through mining expenditures" as defined in the Income Tax Act (Canada) and the Taxation Act (Québec) on the Company's Laurentides regional graphite exploration program and the Bourier Lithium property, which will be incurred on or before December 31, 2023, and renounced with an effective date no later than December 31, 2022 to the initial purchasers of FT Units in an aggregate amount not less than the gross proceeds from the sale of the FT Units.

The announced critical mineral strategy and tax credit is important and directly aligned with our ongoing regional strategy to develop the natural flake graphite claims and to advance our Bourier lithium exploration program. At La Loutre we continue to advance our diamond drill program in the EV Zone, environmental baseline studies and metallurgical studies continue. This program will replicate commercial processing and purification steps to evaluate the performance of the La Loutre flake graphite in battery anode applications.

Regional Graphite Exploration Program in the Grenville Province

Lomiko has initiated helicopter-borne geophysical surveys on its six regional graphite properties for the purpose of data acquisition aiming to identify areas of prospective graphite mineralization for future field follow-up. The program will cover approximately 14,255 hectares of mineral claims, and 236 claims in total. These new claims lie within a 100 km radius of the Company's flagship La Loutre graphite and were previously announced on May 16, 2022. With this work, the Company aims to identify near surface conductors which will help guide the field work in the future and further define the regional prospectivity for natural flake graphite. Please refer to Figure 1 for details.

In addition, at the Company's Bourier prospect, Lomiko and Critical Elements Lithium Corporation (Operator) have commenced the 2022 field exploration program. The field program is expected to last four weeks. The lithium-tantalum-cesium anomalies are of particular interest because they represent an unprecedented discovery in the Bourier claim. This anomaly spans along a 2.5 km long NE-trending mica-rich white pegmatites system. Structural interpretation by GoldSpot suggest this lithium-tantalum-cesium trend may extend to the Lemare Li showing. Please refer to Figure 2 for details.
